1. Agreement to Terms
By accessing or using the Digital Growth Factor website and services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use our services.
These Terms apply to all visitors, clients, and others who access or use our services. Where services are provided under a separate client agreement or statement of work, those documents shall take precedence.
2. Description of Services
Digital Growth Factor provides digital marketing, digital transformation, data science and analytics, AI consultancy, AI agent development, and AI automation services. Specific deliverables, timelines, and fees are set out in individual proposals and statements of work agreed with each client.
3. Intellectual Property
All content on this website — including text, graphics, logos, images, and software — is the property of Digital Growth Factor or its content suppliers and is protected by applicable intellectual property laws.
Upon full payment of all fees, Digital Growth Factor assigns to the client ownership of all custom deliverables created specifically for that client under a project engagement. Pre-existing IP, methodologies, frameworks, and tools developed independently by Digital Growth Factor remain our property.
4. Client Obligations
Clients agree to:
- Provide accurate, complete, and timely information necessary for service delivery
- Grant Digital Growth Factor access to platforms, accounts, and data required to perform the services
- Designate a primary point of contact for each engagement
- Review and approve deliverables within agreed timelines
- Pay all invoices in accordance with agreed payment terms
5. Payment Terms
Unless otherwise agreed in writing, invoices are due within 30 days of issue. We reserve the right to charge interest on overdue amounts at 8% above the Bank of England base rate per annum, and to suspend services on accounts with outstanding balances exceeding 30 days.
All fees are exclusive of VAT, which will be charged at the applicable rate.
6. Confidentiality
Both parties agree to keep confidential all non-public information disclosed in connection with the services. This obligation survives termination of any engagement for a period of 3 years. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
7. Limitation of Liability
To the maximum extent permitted by law, Digital Growth Factor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from the use of or inability to use our services.
Our total cumulative liability in connection with any engagement shall not exceed the total fees paid by the client in the 3 months preceding the claim.
8. Warranties and Disclaimers
We provide our services using reasonable skill and care. However, we do not warrant that our services will achieve any specific business outcome, revenue target, or search engine ranking. Digital marketing and AI results are dependent on factors outside our control, including algorithm changes, market conditions, and client-side execution.
The website and its content are provided “as is” without warranty of any kind, express or implied.
9. Termination
Either party may terminate an ongoing engagement with 30 days' written notice. Project engagements may be terminated by mutual agreement or where a material breach remains unremedied after 14 days' written notice.
Upon termination, the client shall pay for all work completed up to the termination date. Digital Growth Factor will provide a final invoice and deliver all completed work.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last updated” date. Continued use of our services constitutes acceptance of the revised Terms.
